Terms of Service

Effective from the date of first sign-in or execution of an order form.

These Terms of Service ("Terms") govern the use of the TeamGuru platform provided by Team Solutions s.r.o., Lidická 81, 602 00 Brno, Czech Republic ("Team Solutions"). By accessing or using the platform, you agree to be bound by these Terms.

1. Services

Team Solutions s.r.o. ("Team Solutions") provides the TeamGuru platform as a hosted, subscription-based service. Upon execution of an order, Team Solutions will provision an administrative account for the customer. The customer is responsible for managing end-user accounts within their organization. Team Solutions reserves the right to make commercially reasonable updates, improvements, and modifications to the platform during the subscription period.

2. Use of Services

2.1 Availability

Team Solutions will use commercially reasonable efforts to maintain platform availability 24 hours a day, 7 days a week, with minimal downtime. Planned maintenance windows will be communicated with at least 48 hours' notice. Availability commitments exclude circumstances beyond reasonable control, including but not limited to force majeure events, internet service interruptions, and third-party service outages.

2.2 Support

Support services are provided based on the customer's subscription tier. Details of available support levels, response times, and channels are outlined in the applicable order form or service agreement.

2.3 Privacy and Security

Team Solutions maintains administrative, physical, and technical safeguards designed to protect the privacy, confidentiality, and integrity of customer data. These safeguards are consistent with industry standards and applicable data protection regulations.

2.4 Security Audit

Team Solutions maintains ISO 27001:2005 certification (or its successor standard) throughout the subscription period. Certification status is available upon request.

2.5 Customer Responsibilities

The customer is responsible for maintaining the confidentiality of user credentials, ensuring appropriate use of the platform by authorized users, and promptly notifying Team Solutions of any suspected security breaches. Resale, sublicensing, or redistribution of the platform is prohibited without prior written consent.

3. Invoices and Payment

All fees are as specified in the applicable order form. Invoices are due within 30 days of the invoice date. Team Solutions may adjust fees with at least 30 days' written notice prior to a renewal period. Overdue balances accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.

3.1 Suspension for Non-Payment

If payment remains outstanding for more than 30 days past the due date, Team Solutions may suspend access to the platform upon written notice. If payment remains outstanding for more than 60 days, Team Solutions reserves the right to terminate the subscription.

4. Cancellation and Termination

Either party may terminate the subscription with written notice as specified in the order form. Upon termination, the customer's access to the platform will cease. Any outstanding fees for the current billing period remain due and payable. Team Solutions will make customer data available for export for a reasonable period following termination.

5. Confidential Information

Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

6. Indemnification

6.1 By Team Solutions

Team Solutions will defend and indemnify the customer against third-party claims alleging that the platform infringes upon intellectual property rights, subject to standard exclusions including modifications made by the customer, use in combination with non-Team Solutions products, or use outside the scope of the agreement.

6.2 By Customer

The customer will defend and indemnify Team Solutions against third-party claims arising from customer data or the customer's use of the platform in violation of these terms.

7. Limitation of Liability

Neither party excludes or limits liability for death or personal injury caused by negligence, fraud, or breach of confidentiality obligations. Subject to the foregoing, each party's total aggregate liability under or in connection with these terms shall not exceed 125% of the total amount paid by the customer in the 6 months immediately preceding the event giving rise to the claim.

8. Definitions

"Services" refers to the TeamGuru platform and related support as described in the applicable order form. "Users" means individuals authorized by the customer to access the platform. "Customer Data" means all data submitted to the platform by or on behalf of the customer. "Third Party Offerings" means products, services, or integrations not provided by Team Solutions that may interoperate with the platform.
